Software Service Agreement

This software service agreement is concluded between the user of the software product “Webtotem”, (further the User) and “WebTotem” LLC. Read the terms of this agreement carefully before using the product. If you do not agree to the terms of this agreement, you can not use this product. Use of the product means your complete agreement with all the clauses of this agreement.

The license agreement comes into force from the time of purchase or installation of the product and is valid throughout the life of the product.

  1. Subject of the software service Agreement
    1. The subject of this license agreement is the right to use one copy of the software product (hereinafter, the “software program”, “program” or “product”) “WebTotem” provided to the User by “WebTotem” LLC, in the manner and on the terms and conditions established by this agreement
    2. All the provisions of this agreement apply to the entire product as a whole, as well as to its individual components
    3. The software service agreement does not grant ownership of the WebTotem product and its components, but only the right to use the COPY OF THE SOFTWARE and its components in accordance with the terms and conditions specified in clause 3 of this agreement
  2. Copyright
    1. The product “WebTotem” is the property of “WebTotem” LLC
    2. All rights of ownership and copyrights to the product “WebTotem”, including documentation and source code, is possessed by WebTotem LLC
  3. Product use conditions and restrictions
    1. This agreement grants the right to install the purchased “WebTotem” COPY of the PROGRAM within the framework of one project
    2. The user cannot copy the program, transfer it to third parties or distribute the program and its components, including renting / renting the program and its components
    3. It is forbidden to delete any copyright information
  4. Responsibility of the parties
    1. “WebTotem” LLC is not liable to the User of the WebTotem product for any damage, loss of profits, information or savings related to the use or inability to use the product, even in the case of prior notification of the possibility of such damage, or for any claim by a third party
  5. Limited Warranty
    1. “WebTotem” LLC provides warranty services for the software product within one year from the date of purchase. All the provisions of this clause apply only during the period of warranty service
    2. If errors are found when using the “WebTotem” product, “WebTotem” LLC undertakes to correct them as soon as possible. The parties agree that an accurate determination of the time of elimination of the error can not be established, since the software product closely interacts with other third-party programs, the operating system and hardware resources of the user’s computer, and the operability and time of problem elimination are not fully dependent only on “WebTotem” LLC.
    3. In the event of non-compliance with any of the clauses in section 3 of this agreement, the user automatically loses the warranty and the right to technical support and updates
    4. In the event that the user changes the product kernel or database structure of the software product, WebTotem LLC does not guarantee the uninterrupted operation of the program and the correct installation of updates, the user automatically loses the right to technical and warranty service
  6. Technical Support terms
    1. By purchasing the product “WebTotem”, the user gets the opportunity to use the technical support of “WebTotem” LLC in the web-site for one year free of charge. All the provisions of this clause are valid only for one year from the date of purchase of the product and during an additional paid period of technical support
    2. Technical support provides for the elimination of errors in the software product “WebTotem”, identified during the warranty period, consultations by e-mail “WebTotem” LLC during the warranty period on working days
    3. The user of the product has the right to the CHARITABLE EXTENSION of technical support for the next year, provided that the renewal is paid within a month from the end of the previous period of technical support. The term of technical support and updates is extended for one year from the end of the previous period
    4. User can purchase STANDARD EXTENSION of technical support. The term of the technical support is extended for one year from the moment of payment of the STANDARD EXTENSION. The user also gets the opportunity to receive and install all changes and updates that were released to the software product before the payment for the renewal of technical support.
  7. Amendment and termination of the agreement
    1. In case the user does not comply with one of the above provisions, “WebTotem” LLC has the right to unilaterally terminate this agreement by notifying the user thereof
    2. Upon termination of the agreement, the User must stop using the product and remove the entire product copy
    3. The user can terminate this agreement at any time by completely deleting the “WebTotem” program COPY
    4. In the event that the competent court recognizes any provisions of this agreement as invalid, the Agreement continues to apply in the rest. This license agreement also applies to all updates provided to the user in the framework of technical support, unless the user is offered to read and accept a new license agreement or additions to the current agreement when updating the software product
